These Terms of Use ("Terms") govern your access to and use of the Venture platform and website operated by Venture Online Ltd ("we", "us", or "our"), a company incorporated in England and Wales.
By registering for or using any part of the Venture platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform.
1. The service
Venture is a cloud-based business software platform comprising multiple integrated products including project management, information security management, task and action management, knowledge base, team management, website building, and AI-assisted tools (collectively, the "Service").
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where practicable, we will give reasonable advance notice of material changes.
2. Additional services
From time to time, Venture Online Ltd may also provide additional services including, but not limited to, web hosting, email hosting, DNS management, domain registration, and other related managed services ("Additional Services").
Additional Services are separately provisioned and billed from your Venture platform subscription. Specific pricing, service levels, and configuration details will be agreed at the time of provisioning. Unless a separate written agreement is put in place, all Additional Services are subject to these Terms of Use in addition to any service-specific terms provided at the point of sale.
3. Eligibility and accounts
- You must be at least 18 years old and have the authority to enter into a binding contract to use the Service.
- If you are registering on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at legal@ventureonline.co if you suspect unauthorised access to your account.
- You may not share your account with others or create accounts for the purpose of circumventing restrictions or paid plans.
4. Free trial
We offer a 14-day free trial for new accounts. The trial gives you access to a limited version of the Service. No credit card is required to start a trial. At the end of the trial period, your account will be suspended unless you subscribe to a paid plan. We reserve the right to modify the duration or scope of the free trial at any time.
5. Subscriptions and billing
5.1 Subscription model
Each Venture product module has its own independent subscription. You subscribe only to the modules you need. Subscription fees are charged in advance on a monthly or annual basis.
5.2 Payment
- All payments are processed by Stripe. By subscribing, you authorise us to charge your chosen payment method for the applicable fees.
- Prices are shown in GBP and are exclusive of VAT where applicable. VAT will be added at the prevailing UK rate where required.
- Failed payments may result in suspension of your subscription. We will notify you of payment failures and give you a reasonable opportunity to update your payment details.
5.3 Cancellation
- You may cancel your subscription at any time via the billing portal within the platform.
- Cancellation takes effect at the end of the current billing period. You will retain access until the period ends.
- We do not provide refunds for partial billing periods, except as required by law.
5.4 Price changes
We may change subscription prices on giving at least 30 days' written notice by email. Price changes will take effect at your next renewal date after the notice period.
6. Acceptable use
You agree not to use the Service to:
- Violate any applicable UK or international law or regulation.
- Upload, transmit, or store any content that is unlawful, harmful, defamatory, obscene, or that infringes any third-party intellectual property rights.
- Attempt to gain unauthorised access to any part of the platform, other accounts, or connected systems.
- Introduce malware, viruses, or any other malicious code.
- Use automated tools to scrape, crawl, or extract data from the platform without our prior written consent.
- Resell, sublicense, or otherwise commercialise access to the Service without our written permission.
- Impersonate any person or organisation, or misrepresent your affiliation with any person or organisation.
- Use the Service in any way that could damage, disable, overburden, or impair our infrastructure.
7. Your content
You retain ownership of all content you create, upload, or store within the Service ("Your Content").
By using the Service, you grant us a limited, non-exclusive licence to host, store, and process Your Content solely as necessary to provide the Service to you.
You are solely responsible for ensuring Your Content complies with applicable laws and does not infringe the rights of any third party. We may remove content that we reasonably believe violates these Terms or applicable law.
8. Intellectual property
All intellectual property rights in the Venture platform, including its software, design, branding, documentation, and AI models, are owned by or licensed to Venture Online Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You may not copy, modify, reverse engineer, decompile, or create derivative works from any part of the platform without our prior written consent.
9. AI features
Certain features of the Service use artificial intelligence to generate content, summaries, plans, and recommendations. You acknowledge that:
- AI-generated outputs are provided for assistance only and may not always be accurate, complete, or suitable for your specific circumstances.
- You are responsible for reviewing and verifying any AI-generated content before relying on it.
- We do not accept liability for decisions made solely on the basis of AI-generated outputs.
10. Data protection
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you agree to our Privacy Policy.
Where you use the Service to process personal data on behalf of your organisation, you act as the data controller and we act as a data processor. Our data processing obligations are set out in our Privacy Policy and, where applicable, a Data Processing Agreement available on request.
11. Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to use it for any purpose other than as necessary to perform obligations under these Terms. This obligation does not apply to information that is publicly available or that the receiving party already knew independently.
12. Availability and service levels
We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service is provided "as is" and "as available". We will use reasonable endeavours to carry out scheduled maintenance outside of peak business hours and to notify you in advance.
13. Limitation of liability
To the fullest extent permitted by UK law:
- We exclude all liability for indirect, consequential, special, or punitive losses, including loss of profits, loss of data, loss of business, or reputational damage.
- Our total aggregate liability to you in connection with the Service shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
14. Indemnity
You agree to indemnify and hold harmless Venture Online Ltd, its directors, employees, and agents from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Service in breach of these Terms, or from Your Content infringing any third-party rights.
15. Termination
15.1 By you
You may close your account at any time by contacting us or using the account settings within the platform. Upon closure, we will delete your data in accordance with our Privacy Policy.
15.2 By us
We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay amounts due, or if we are required to do so by law. We will give notice where reasonably practicable.
15.3 Effect of termination
On termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination to allow you to retrieve it, after which it will be deleted, except where we are required to retain it for legal reasons.
16. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or by prominent notice on the platform at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service before the effective date.
17. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Nothing in this clause affects your statutory rights as a consumer under UK law.
18. General
- Entire agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and us in relation to the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any affiliate or successor entity.
- Third parties: These Terms do not create any rights for third parties under the Contracts (Rights of Third Parties) Act 1999.
